Belchertown High School Class
of 1998 Bylaws
ARTICLE I. NAME
The name of this organization shall be the
Belchertown High School Class of 1998, referred to as BHS Class of 1998.
ARTICLE II. PURPOSE
The purpose shall be:
- To preserve the unity and fellowship of the class;
- To provide networking opportunities for members of the BHS class of
1998 as well as other classes from the same high school.
ARTICLE III. MEMBERSHIP
Section 1. Members - Any graduate of the BHS Class of 1998.
Members may not receive compensation for any services rendered to the
Belchertown High School Class of 1998.
Section 2. Honorary Members - Honorary members may be elected at a
class meeting by a two-thirds vote of those members present and voting.
Section 3. Dues - Dues may be levied by vote of the class. If
dues are voted in, then they shall be voluntary and shall not affect the status
of the alumnus with the class in regard to mailings and notices. Dues shall be
established every five years for that period. For example, if an amount of five
dollars per year per alumnus is established, then an alumnus who pays $25.00 in
2010 owes nothing until the year 2015 when the dues will be reassessed for the
following five years, etc. Dues may be paid in increments if an alumnus does not
wish to pay the full amount at one time. Dues are to be used for class purposes
only.
ARTICLE IV. OFFICERS AND
COMMITTEES
Section 1. Officers - The officers shall be the president, vice
president, secretary and treasurer.
Section 2. Reunion Committee - The reunion committee shall be
elected at the reunion class meeting and shall consist of Reunion Chair, Finance
Director, Presentation Director (scribe), RSVP Coordinator, Special Guest
Liaison and Website Coordinator.
Section 3. Other Committees - Other committees may be established
by vote of the class, which shall also designate their composition.
Section 4. Vacancies - The president, with the approval of the
Executive Committee, may fill any vacancies.
Terms-There is
no term limit for class officers. Before each election, a nominating committee
will present its recommendations for any vacant position. Prior to developing
the report, the nominating committee will poll each of the present officers to
determine if any no longer wish to serve as officer.
Committee members will be re-elected each
class meeting (every five years). If any class officer position becomes
available, election will also take place at this time. Otherwise, class officers
will not be up for re-election unless they vacate their post.
- Elections shall be held at each subsequent reunion meeting beginning
with the tenth-year reunion.
- Only members in attendance may vote unless a signed proxy letter is
signed by the voting member and presented by proxy during class meeting. This
proxy vote will only be counted if the class places any vote by ballot. The
standard voting procedure will be by voice.
Section 5. Resignation - Any officer or committee member may
resign by written notice to the class officers and committee members.
Section 6. Removal - Any officer or committee member may be
removed from office, for cause, by a two-thirds (2/3) vote of all the members of
the executive committee, provided that the officer shall have an opportunity to
be heard at the meeting at which the motion on removal is made.
Section 7. Duties - In addition to the usual duties pertaining to
the above offices, the following special duties will pertain:
- The president will be a member ex officio of all committees except the
nominating committee.
- During the disability of the president and until the question of
his/her disability is resolved, the vice president will perform the duties of
the president, and if the office of the president becomes vacant, the vice
president will become president of the class for the unexpired term.
- The secretary will keep the permanent records of the class, take
minutes of all meetings, and maintain records of all class members.
- The treasurer will be responsible for preparing and submitting yearly
financial reports and to the officers and committee members and a summary
report to the class at each reunion. The treasurer will also be responsible
for ensuring a yearly financial audit is conducted by a certified public
accountant and proper financial reports are prepared for the appropriate
government agencies. Together with the finance director, the treasurer will
distribute funds on behalf of the BHS class of 1998, upon the request of the Executive
Committee.
- Reunion Chair will be responsible for initiating event ideas for
subsequent class meetings/ reunions.
- Finance Director will develop a budget for class meetings/ reunions.
Together with the treasurer, the finance director will distribute funds on behalf of the BHS class of 1998, upon the request of the Executive
Committee.
- The Presentation Director (scribe) will gather and prepare news items
for the class website.
- RSVP Coordinator, together with the class secretary will ensure that
each class member is contacted prior to a class meeting/ reunion.
- Special Guest Liaison will contact special guests for any class
meeting/ reunion. Special Guests include former teachers, principles, or other
members of the community the class would like to recognize.
- The web coordinator will maintain the class website, in coordination
with other members of the board, and will manage the distribution of periodic
electronic class newsletters.
ARTICLE V. BOARDS AND COMMITTEES
Section 1. Executive Committee - The Executive Committee shall
consist of all of the class officers and reunion committee members, and shall
act on the affairs of the organization between meetings. A majority shall
constitute a quorum.
Section 2. Nominating Committee - The Nominating Committee shall
consist of three members: appointed by the president, who shall appoint one
member as chair. They shall prepare a slate of nominees beginning with the
fifteenth reunion.
Section 5. Vacancies - The president, with the approval of the
class officers and Reunion Committee, may fill any vacancies.
ARTICLE VI. MEETINGS
Section 1. Regular Meetings - A regular meeting shall be held at
every reunion of the class. The number present at any regular class meeting
shall constitute a quorum.
Section 2. "Meetings by Mail" - Questions initiated by the class
officers and Reunion Committee may be voted on by mail or electronic mail. The
number of ballots returned within the time indicated on the ballot shall
constitute a quorum.
ARTICLE VII. ROBERT'S RULES
OF ORDER, REVISED
"Robert's Rules of Order, Revised" shall be
the parliamentary authority.
ARTICLE VIII. DISSOLUTION
Upon dissolution of this organization or
the completion of its affairs, the assets shall be distributed exclusively to:
- The Belchertown High School Student Council, located in Belchertown,
Massachusetts, for its general purposes; or
- If said Association for any reason does not qualify under the
provisions of Section 501 (c) (3) of the Internal Revenue Code, then to any
charitable, religious, scientific, literary or educational organization which
would qualify under the provisions of Section 501 (c) (3) of the Internal
Revenue Code and its regulations as they now exist or as they hereafter be
amended.
ARTICLE IX. AMENDMENTS
These bylaws may be amended at any meeting by a two-thirds
vote of those present and voting, provided the proposed changes have been
included in the notice of said meeting.
